Acceptance of Terms

Welcome to ZensNote. These Terms of Service ("Terms") govern your access to and use of the ZensNote mobile application and website (collectively, the "Service"), operated by ZensNote ("we," "us," or "our").

By creating an account, downloading the app, or using the Service in any way, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

We may update these Terms from time to time. We will notify you of material changes via in-app notification or email. Continued use of the Service after changes constitutes acceptance of the updated Terms.

Description of Service

ZensNote is an AI-powered learning notes and knowledge management platform that enables users to:

• Create and edit text notes with rich formatting
• Record audio and receive AI-powered transcriptions
• Upload audio files, PDFs, and images for AI processing
• Import content from web links and video URLs
• Generate AI summaries, flashcards, quizzes, mind maps, and infographics from notes
• Convert notes into AI-generated podcast audio
• Share notes and podcasts via links, QR codes, or exported files
• Sync data across devices via cloud storage

The Service is available in two tiers: a free tier with limited usage quotas and a premium subscription tier with enhanced features and unlimited access.

Account Registration & Security

• You must be at least 13 years old (or the applicable age of digital consent in your jurisdiction) to create an account
• You must provide accurate and complete information during registration
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access to your account
• You may not create multiple accounts for abusive purposes
• You may not share your account credentials with third parties
• We reserve the right to suspend or terminate accounts that violate these Terms

Subscriptions & Payments

Billing

• ZensNote offers free and premium subscription plans
• Premium subscriptions are available on a weekly, monthly, or annual basis
• Payments are processed through Apple App Store (iOS) or Google Play Store (Android)
• Prices are displayed in your local currency and may vary by region
• All prices are inclusive of applicable taxes unless otherwise stated

Auto-Renewal

• Premium subscriptions automatically renew at the end of each billing period unless cancelled
• You will be charged the applicable renewal price within 24 hours prior to the end of the current billing period
• The renewal price may change; we will notify you of any price changes in advance

Cancellation & Refunds

• You may cancel your subscription at any time through your device's subscription management settings (Apple App Store or Google Play Store)
• Cancellation takes effect at the end of the current billing period — you retain access to premium features until then
• We do not provide partial refunds for unused portions of a billing period
• Refund requests for subscriptions must be directed to Apple or Google, as they process all payments
• If you cancel, your account will revert to the free tier at the end of the billing period

User Content

"User Content" includes all text, audio recordings, files, images, notes, and other materials you create, upload, or import through the Service.

Ownership

You retain full ownership of your User Content. We do not claim any ownership rights over the content you create or upload.

License Grant

Your content is hosted, stored, processed, and displayed solely to provide the Service to you. We do not claim any rights, ownership, or license to your content beyond what is necessary to deliver the Service. When you delete your content or account, all associated data is permanently removed.

Your Responsibility

• You are solely responsible for the content you create, upload, or share through the Service
• You represent that you have the right to use and upload any content you provide
• You must not upload content that infringes on third-party intellectual property rights
• You must not upload illegal, harmful, defamatory, or objectionable content
• Shared content (via links or QR codes) is your responsibility — ensure you have the right to share it

AI-Generated Content

ZensNote uses artificial intelligence to generate content including, but not limited to, summaries, flashcards, quizzes, mind maps, infographics, Q&A responses, and podcast audio.

• AI-generated content is provided "as is" and may contain inaccuracies, errors, or omissions
• You should review and verify all AI-generated content before relying on it for academic, professional, or other purposes
• AI-generated summaries, flashcards, and other outputs are derived from your User Content and are treated as part of your account data
• We do not guarantee the accuracy, completeness, or reliability of any AI-generated content
• AI podcast voices are synthetic and do not represent real individuals
• We are not responsible for any decisions or actions you take based on AI-generated content

Intellectual Property

The Service, including its design, code, logos, trademarks, and all content created by ZensNote (excluding User Content), is the intellectual property of ZensNote and is protected by copyright, trademark, and other intellectual property laws.

• You may not copy, modify, distribute, or reverse-engineer any part of the Service
• The ZensNote name, logo, and branding are our trademarks and may not be used without our written permission
• Feedback or suggestions you provide to us may be used to improve the Service without obligation to you

Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property or privacy rights of others
• Upload or distribute malware, viruses, or harmful code
• Attempt to gain unauthorized access to the Service or other users' accounts
• Use automated tools (bots, scrapers) to access the Service without our permission
• Abuse the AI features to generate harmful, misleading, or illegal content
• Use the Service for spam, phishing, or fraudulent activities
• Circumvent usage limits, access controls, or other technical restrictions
• Resell, redistribute, or commercially exploit the Service without our authorization
• Harass, threaten, or harm other users

Sharing & Collaboration

• When you share notes or podcasts, recipients can access the shared content according to the permissions you set
• You are responsible for the content you share and the permissions you grant
• Shared links may be accessible to anyone with the link unless you set a password or expiration date
• We are not responsible for how recipients use your shared content
• You may revoke sharing access at any time through the app
• Team spaces and collaboration features are available to premium subscribers

Third-Party Services

The Service integrates with or relies on third-party services including:

• AI providers (for transcription, summarization, generation, and text-to-speech)
• Cloud infrastructure providers (for data storage and processing)
• Authentication providers (Google, Apple for social login)
• Payment processors (Apple App Store, Google Play Store)
• Analytics services (for app usage insights)

These third-party services are governed by their own terms of service and privacy policies. We are not responsible for the practices of third-party services, though we select our providers carefully and require them to maintain appropriate data protection standards.

Termination

• You may delete your account at any time through Settings > Account > Delete Account in the app
• We may suspend or terminate your account if you violate these Terms
• We may suspend or terminate your account if required by law
• Upon termination, your right to use the Service ceases immediately
• We will delete your data in accordance with our Privacy Policy (within 30 days of account deletion)
• Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination

Disclaimer of Warranties

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• AI-generated content will be accurate, complete, or reliable
• Audio transcriptions will be error-free
• The Service will meet your specific requirements
• Defects in the Service will be corrected

Limitation of Liability

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless ZensNote and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you create, upload, or share through the Service

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ZensNote operates, without regard to conflict of law principles.

Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

Nothing in these Terms shall deprive you of any mandatory consumer protection rights granted by the laws of your country of residence.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ZensNote regarding the use of the Service.
